Limitation of Liability

In no event shall Lenity or its affiliates and sub-contractors be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses arising out of or in connection with our website, our services or these Terms (however arising, including negligence or under tort or under public policy).

Governing Law

These Terms and all the rules and policies contained herein and any of your usage of Platform and your dealings with Lenity shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Notwithstanding the foregoing, the interpretation and enforcement of the arbitration provisions set forth below shall be governed by the Federal Arbitration Act, 9 U.S.C. §§ 1 et seq., to the extent applicable.

Arbitration

If any dispute arises between you and Lenity during your use of the Platform or your dealings with Lenity in relation to any activity on the Platform, in connection with the validity, interpretation, implementation or alleged breach of any provision of these Terms and all the rules and policies contained herein, the dispute shall be referred exclusively to a sole arbitrator who shall be an independent and neutral third party appointed in accordance with the applicable rules of the American Arbitration Association (“AAA”). The arbitration proceedings shall be governed by the Federal Arbitration Act, 9 U.S.C. §§ 1 et seq., and the applicable AAA rules, shall be conducted in the English language, and the place of arbitration shall be Delaware, United States. The arbitral award shall be final and binding on the parties and may be enforced in any court of competent jurisdiction.
